REMY Brand Affiliate Agreement 

REMY, a registered trademark of REMY Skincare Ltd, actively supports the advertising and promotion of its products by selected and respected members of the skincare community.

This agreement outlines the terms and conditions of your relationship with REMY as a single post Brand Ambassador.

1. Endorsed Products

Endorsed products are products sold under REMY name.

2. Ambassador Requirements

Requirements include: Have an active, public Instagram account with at least 250 followers. Follow us on Instagram @remyskincare.com. At least 18 years of age.

3. Promotion of Endorsed Products in Return for Commission Based Sales

You agree to use your best efforts to promote the Endorsed Products in a manner consistent with its authorized use and as outlined on product labels. Approved channels for single post promotion include Facebook, Instagram, TikTok, Youtube, Pinterest.

4. Commission

As an Ambassador, you earn a standard commission rate of 10% for all Net Sales that you directly drive through your marketing efforts.

Net Sales are defined as sales excluding any discounts, shipping, store credit, or taxes.

Commissions are paid to your designated bank account.

Commission will be issued at the end of the month for the previous month. For example, commissions earned in March will be paid out at the end of April.

Any Ambassador found to commit commission fraud will be immediately removed from the Ambassador Program. We reserve the right to reverse commissions due to returns, order cancellations and erroneous order duplication. We also reserve the right to defer or refuse commissions for disputed orders or orders we reject and cannot fulfill at our sole discretion.

5. Prohibited Content & Brand Protection

Ambassador agrees that they will not post content on any platform that: (i) disparages REMY or any of its affiliates, directors, employees or products on social media or otherwise, (ii) is defamatory, offensive, pornographic, contrary to the Social Media Guidelines or that violates the publicity rights, privacy rights or other similar rights of any person; (iii) that violates any law, is misleading or deceptive, or that could reasonably be seen to impair the reputation or goodwill of REMY. REMY may require Ambassador to remove or delete any content that violates this Agreement. This term will survive termination of this Agreement.

6. Indemnification

You agree to hold REMY, its officers, agents, assignee's and employees harmless for any liability from any injury or damage arising from the use or promotion of any Endorsed Product.

7. Relationship

This agreement shall not be construed as creating an employer/employee and/or employer/contractor relationship.

8. Intellectual Property

Ambassador acknowledges and hereby agrees to grant REMY the unlimited and unencumbered use of any and all work product developed by Ambassador in conjunction with the performance of services for REMY.

Work product includes but is not limited to all social media posts, pictures, images, videos, recordings, taglines, hashtags, posts, commentary, and designs.

1. Except where prohibited by law or regulation, Ambassador grants REMY and its successors, assigns, licensees and designees permission to use Ambassador's name, Social Media Platform account name, photograph (including, but not limited to, Social Media Platform account profile photo), voice and/or other likeness, in all media now known or hereafter discovered (including, without limitation, on REMY websites and via REMY Social Media Platform accounts), worldwide in perpetuity, for any purpose without additional compensation, consideration, notification or consent.
2. Ambassador is not authorized to use any copyrighted content from any other companies to promote the REMY brand. REMY will not be responsible for any disputes involving the unauthorized use of any other company's intellectual property.

Ambassador acknowledges the ownership and validity of REMY Skincare Ltd’s copyright, brands, trademarks, trade dress and patent rights, whether created by or contributed to by Ambassador

10. Use of Likeness

Ambassador further grants to Company the irrevocable right and permission to film, videotape, photograph and/or otherwise record Ambassador and to reproduce, publish, distribute, display, broadcast, exhibit and/or in any other way use Ambassadors image, likeness, signature, voice, photograph, name including nicknames, actual and/or paraphrased statements, biographical information and/or any other information or attribute identifying and/or otherwise associated with Ambassador (collectively, “Likeness”), in whole or in part, distorted, altered, modified and/or adapted in character and/or in form, alone and/or accompanied by other material in any manner and without restriction of any kind, worldwide, in perpetuity and royalty free, for any purpose whatsoever, including without limitation for the purpose of advertising, publicity, promotion and/or other marketing for Company and/or the Work in all media now known hereafter developed (including without limitation in social media)

11. Term and Termination

The effective date of this agreement is from the date of providing your address to REMY for posting the products to you. The term of this single post agreement is one month from the effective date. Notwithstanding the foregoing, either party may terminate this agreement at any time, with or without cause.

12. Modification

We may change the terms and conditions of this Agreement in the future. Unless this Agreement or applicable law specifies otherwise, we will give you 7 days prior notice of any significant change to this Agreement. If you find the change unacceptable, you have the right to terminate the Agreement. However, if you continue to receive the benefits of the Agreement after the end of the notice period of the change, you will be considered to have accepted the changes. You may not modify this Agreement by making any typed, handwritten, or any other changes to it for any purpose.

13. Removal

We reserve the right to remove any Ambassador from our Brand Ambassador Program.

14. Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether written or oral, between the parties.

15. Acceptance of the Agreement

Acceptance of the agreement is implied by conduct in the manner of you providing your bank details to REMY Skincare Ltd to allow payment of commission and by REMY Skincare Ltd paying the commission to you.
